1. The agreement
These terms are an agreement between Innovate Solution, registered in Singapore (UEN 202617746C) ("we", "us"), and the person or business that uses this website or subscribes to bedsKey ("you"). If you accept them on behalf of a business, you confirm that you are authorised to bind it. A signed proposal, order form or customer agreement ("Order") forms part of this agreement; if an Order conflicts with these terms, the Order prevails for that subscription.
2. Using this website
You may browse bedskey.com and use its content to evaluate bedsKey. You must not attempt to break or overload the website, use automated tools to copy it in a way that harms its performance, send spam or false information through its forms, or use it for anything unlawful. Content on the website describes the product in general terms; the features and prices that apply to you are those in your Order and on the pricing page at the time of your Order.
3. The bedsKey service
bedsKey is a cloud hotel property management system, including the modules described on this website. We provide it as a hosted service over the internet; you receive a right to use it during your subscription, not a copy of the software. We may improve, change or replace features as long as we do not materially reduce the core functions of the service during your paid term.
4. Accounts and users
You are responsible for the people you give access to, for setting their permissions, for keeping login details secret and for everything done under your accounts. Tell us at once if you suspect unauthorised access.
5. Fees and payment
- Activation. A one-time activation charge of USD 500, paid when the Order is signed, covers setup, onboarding and the initial support period.
- Monthly fee. For each billing month: USD 4 if the property had no bookings; a flat USD 10 if it had 1 to 30 bookings; or USD 1 per active room if it had 31 or more bookings, unless your Order says otherwise.
- Invoices. We invoice monthly. Invoices are payable by the due date shown on them. Prices are in US dollars and exclude taxes, which you pay where applicable, together with your own bank and payment gateway charges.
- Late payment. If an invoice is unpaid 14 days after its due date and after we have sent you a reminder, we may suspend access until it is paid. Your data is kept during a suspension.
- Price changes. We may change prices by giving at least 30 days' notice by email or in the application. The new price applies from the next billing month after the notice period.
- Third-party charges. OTAs, payment gateways, SMS and messaging providers and other third parties charge you under their own terms; those charges are not part of our fees.
Refunds are covered by our refund policy.
6. Your data
You own all data you or your guests enter into bedsKey ("Customer Data"). You give us permission to host, process and back up Customer Data only to provide, secure and support the service and as described in our privacy policy. You are responsible for having a lawful basis to collect and use Customer Data and for informing your guests. We keep Customer Data confidential, protect it with the measures described in the privacy policy and do not sell it. We may use aggregated, anonymised usage statistics that do not identify you or any person to operate and improve the service.
7. Acceptable use
You must not use bedsKey to break any law, infringe anyone's rights, store or send malicious code, attempt to access other customers' data, probe or bypass security, resell the service without our written permission, or reverse engineer it except where the law allows. We may suspend an account that seriously breaches this section, telling you why.
8. Third-party services
bedsKey connects to services we do not control, such as online travel agencies, payment gateways and messaging providers. Your use of them is governed by your agreements with them. We are not responsible for their availability, content, decisions or charges, but we will work with you to resolve connection problems on our side.
9. Availability and support
We use reasonable care and skill to keep bedsKey available and to back up Customer Data. Planned maintenance is scheduled to limit disruption. Onboarding and support are provided as described in your Order and on this website. Unless your Order includes a service level agreement, we do not guarantee uninterrupted or error-free operation.
10. Intellectual property
bedsKey, its software, design and documentation, and the bedsKey name and logo belong to Innovate Solution or its licensors. Nothing in this agreement transfers them to you. If you send us suggestions, we may use them without obligation.
11. Confidentiality
Each party will keep the other's non-public business information confidential, use it only for this agreement and protect it with reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law.
12. Disclaimer
Except as expressly stated in these terms or your Order, bedsKey is provided "as is" and we make no other warranties, including warranties of merchantability, fitness for a particular purpose or non-infringement, to the extent the law allows. You remain responsible for your business decisions, rates, taxes and compliance with the laws that apply to your property.
13. Limitation of liability
To the extent the law allows: neither party is liable for indirect or consequential loss, or for loss of profits, revenue, bookings, goodwill or data that arises indirectly; and each party's total liability under this agreement in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your obligation to pay fees, to breaches of confidentiality, or to liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
14. Indemnity
You will defend and compensate us against third-party claims arising from Customer Data you had no right to process or from your use of bedsKey in breach of section 7.
15. Term and termination
- A subscription starts when the Order is signed and continues month to month unless your Order sets a fixed term.
- Either party may end it by giving 30 days' written notice; it then ends at the end of the billing month in which the notice period expires.
- Either party may end it immediately if the other materially breaches this agreement and does not fix the breach within 14 days of written notice, or becomes insolvent.
- After termination you can export your Customer Data for 30 days. We then delete it as described in the privacy policy. Fees already due remain payable.
16. Governing law and disputes
This agreement is governed by the laws of Singapore. The parties will first try to resolve any dispute by good-faith discussion between senior representatives within 30 days. If that fails, the courts of Singapore have exclusive jurisdiction, unless your Order provides otherwise. Nothing here prevents a party from seeking urgent relief.
17. General
- Changes. We may update these terms. We will give customers at least 30 days' notice of material changes; continuing to use bedsKey after they take effect means you accept them.
- Notices. Notices to us go to sales@bedskey.com with "Legal notice" in the subject; notices to you go to the email address on your account.
- Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control, such as natural disasters, wide-scale network or power failures, or government action.
- Assignment. You may not transfer this agreement without our consent; we may transfer it to a group company or a successor of the business.
- Entire agreement. These terms, the privacy policy, the refund policy and your Order are the entire agreement on this subject. If a provision is unenforceable, the rest remains in force. Failing to enforce a right is not a waiver.
- Language. If a translation of these terms differs from the English version, the English version prevails.
